1. Scope of Work
The Developer agrees to provide WordPress-related development services, which may include:
- Custom WordPress theme development
- WordPress plugin development
- Site optimization and performance enhancements
- API integrations
- Bug fixes, updates, or site maintenance
- Other related services as described upon in actual proposal
A detailed project scope, deliverables, milestones, and estimated timeline will be outlined in a separate Project Proposal or Statement of Work.
2. Payment Terms
- Project Fee: [Flat Fee or Hourly Rate]
- Deposit: A non-refundable deposit of 30% is required to begin work for flat rate project
- Milestone Payments: Remaining payments are due upon completion of project phases, as outlined in the proposal.
- Final Payment: Due before delivery of final files or deployment to live server.
Late payments may be subject to a 5% monthly late fee.
3. Timeline & Delays
The Developer will provide estimated timelines and strive to meet deadlines. However, timelines may shift based on:
- Client delays in providing content, feedback, or approvals
- Scope changes
- Unforeseen technical issues
Delays caused by the Client may result in rescheduling and additional charges.
4. Revisions
Unless otherwise agreed, the Client is entitled to Three (03) rounds of revisions per project phase. Additional revisions will be billed at $20/hr.
5. Intellectual Property
- Custom code and designs created by the Developer for the Client will become the Client’s property upon full payment.
- The Developer retains the right to display work in their portfolio and marketing materials.
- Third-party assets (e.g., stock images, plugins) remain subject to their original licenses.
6. Client Responsibilities
The Client agrees to:
- Provide all necessary content, logins, and materials in a timely manner
- Review and approve work within agreed-upon timeframes
- Make payments according to the agreed schedule
7. Confidentiality
Both parties agree to keep confidential information, trade secrets, and business data private during and after the project.
8. Termination
Either party may terminate the agreement with written notice. If terminated:
- The Developer will be paid for all work completed up to the termination date
- The Client will receive any completed deliverables upon payment
- The deposit is non-refundable
9. Warranty & Support
The Developer provides a 15 (fifteen) days bug-fix warranty after project delivery. This covers code errors but does not include new feature requests, compatibility changes, or third-party issues.
Ongoing maintenance and support may be offered under a separate agreement.
10. Limitation of Liability
The Developer is not liable for:
- Losses due to plugin conflicts, third-party updates, or user errors
- Downtime caused by hosting, DNS, or external providers
- Security breaches if the Client neglects to maintain updates or best practices
Total liability under this agreement is limited to the amount paid by the Client.
11. Dispute Resolution
In case of disputes, both parties agree to try resolving the matter through good-faith discussion. If unresolved, the matter may be submitted to mediation or arbitration in Freelancer’s local Law office.
12. Entire Agreement
This agreement, along with any attached proposals or addenda, represents the entire understanding between the parties. Any changes must be made in writing and signed by both parties.
